| Nature of Business | Union Diagnostic and Clinical Services Plc (formally Tejuosho Diagnotic & Clinical Services Limited) was established i n the year 1994 and incorporated in the year 1999 as a Limited Liability Company. It commenced operations that year a s a small scale diagnostic facility solely in Ultrasound Diagnosis at Tejuosho Street, in the heart of Yaba metropolis i n Lagos State, hence its name. Over the last 13 years, it grew steadily from offering purely ultrasound diagnotic tes ts to become the most comprehensive diagnotic firm in the country. The company has regular staff strength of two hun dred and one (201) among whom are twenty three (23) doctors, fifty seven (57) nurses, seventeen (17) laboratory scient i sts a nd radiographers, accountants and other administrative staff. Currently, it has the following units viz: Ult ra sound unit. X-ray imaging unit, Electrocadiography unit, Eletroephalograhy unit, Endoscopic imaging unit, Tissue bio psy unit ( Cytology/Histology), Renal Dialysis unit and Laboratory unit (including immuno assay). |

| Purpose | The purpose of the Private Placement is to enable Union Diagnotic and Clinical Services Limited raise necessary funds for the expansion of its business capacity and increase its market share through stragetic growth-driven inititative and to enhance the deployment of state-of-the-art equipment in various locations throughout the country. Part of the proceeds will also be applied as additional working capital so as to enable the company support its anticipated level of business. |

| Utilization of Proceeds | The purpose of this private placement is to enable Union Diagnotic and Clinical Services Lmited to expand its business capacity via acquisition of State-of-the-Art equipment, as well as the establishment of branches in major cities of the Federation. Part of the proceeds of the offer will also be used to finance working capital and information technology, to enable the company support its anticipated increased in business.
