| Nature of Business | The Zenith Income Fund is an open-ended unit trust scheme that invests predominantly in investment grade fixed-income se curities. The Fund is not a legal entity but is constituted and exists under the Trust Deed. The Trustee, who shall b e v ested with all the assets of the Fund, shall protect the interest of Investors. During the Offer Period, Units i n th e Fund may be purchased at the Subscription Price. Subsequent to the Offer Period, additional Units in the Fund wi ll be created and purchased on demand by subscribers on an ongoing basis at a price computed in accordance with th e SE C’s appr oved basis for computing the Offer Price. Investors will be free to subscribe to Units of the Fund th rough Zeni th Ba nk Plc or any other Agent approved by the Fund Manager from time to time after the IPO. Therefore, alt hough the Fu nd has an initial target of 200,000,000 Units, the Fund Manager will issue additional units of the Fund t o subsc ribers on dema nd after the initial tranche of 200,000,000 Units has been fully subscribed, subject to the Comm ission’s approva l. |
